Agreement

This agreement is entered into on this date by and between NYLA Talent and Fazia Gachi (parent or legal guardian if talent under 18, hereafter referred to as the “CLIENT”) and “NYLA”. NYLA agrees to furnish and direct and the CLIENT hereby agrees to attend the Gold Program, Bootcamps associated with the Gold or Platinum programs Silver, including Agent/Manager Showcase(s) under the terms and conditions hereafter set forth. NYLA hereby reserves an opening for the CLIENT in this limited program beginning TODAY with Celebrity and Agent/Manager Orientation.

The total amount of $12,000 is to be paid in full upon the execution of this contract, receipt $12,000 of which is hereby acknowledged as payment in full. It is further agreed that the CLIENTS rights under this contract may not be assigned or transferred to any other person. The CLIENT further agrees to abide by the rules and regulations of this contract. Attendance is the sole responsibility of the client as scheduled. Failure to attend rehearsals shall not relieve the CLIENT of the obligation of this contract. Any delay on NYLA’s part in taking action under the terms of this contract shall not be deemed a waiver of those rights. The CLIENT agrees to pay any and all costs associated with the collection of any monies owed, or the enforcing of any rights hereunder in the event the buyer fails to pay.

It is agreed that NYLA assumes no responsibility for or the guarantee of employment in the entertainment field. This contract contains the entire understanding of the parties hereto and can be modified or altered only by written agreement of all parties. CLIENT hereby acknowledges that he/she enters into and executes this contract voluntarily and without any reliance on representations, promises, or inducements made by any agents or representatives of NYLA, which are not set forth in this agreement.

To cancel this contract, mail or deliver or send by a signed and dated copy of the following cancellation notice or any other written notice of cancellation to NYLA via mail or email,

NO LATER THAN MIDNIGHT ON THE 10TH DAY of this Agreement’s execution.

If the contract was executed in part or in whole through the Internet, you may cancel the contract by sending the notification to: talent@nylatalent.com.

NYLA IS A TALENT COUNSELING SERVICE, TALENT LISTING SERVICE, OR TALENT TRAINING SERVICE (whichever is applicable). THIS IS NOT A TALENT AGENCY AGREEMENT. ONLY A TALENT AGENT LICENSED PURSUANT TO SECTION 1700.5 OF THE LABOR CODE MAY ENGAGE IN THE OCCUPATION OF PROCURING, OFFERING, PROMISING, OR ATTEMPTING TO PROCURE EMPLOYMENT OR ENGAGEMENTS FOR AN ARTIST. (Name of talent service) IS PROHIBITED BY LAW FROM OFFERING OR ATTEMPTING TO OBTAIN AUDITIONS OR EMPLOYMENT FOR YOU. IT MAY ONLY PROVIDE YOU WITH TRAINING, COUNSELING, OR LISTING INFORMATION (whichever is applicable). FOR MORE INFORMATION, CONSULT CHAPTER 4.5 (COMMENCING WITH SECTION 1701) OF PART 6 OF DIVISION 2 OF THE LABOR CODE. A DISPUTE ARISING OUT OF THE PERFORMANCE OF THE CONTRACT BY THE TALENT SERVICE THAT IS NOT RESOLVED TO THE SATISFACTION OF THE ARTIST SHOULD BE REFERRED TO A LOCAL CONSUMER AFFAIRS DEPARTMENT OR LOCAL LAW ENFORCEMENT, AS APPROPRIATE.

As such, CLIENT understands and agrees that NYLA has made no promise of representation, or guarantee of employment. CLIENT hereby acknowledges that it is entering into this Agreement for the benefit of Talent CLIENT and is voluntarily entering into this Agreement without any reliance or representations, promises, or inducements made by any agents or representatives of NYLA, which are not set forth in this Agreement.
